1. Acceptance of Terms
By creating an account, submitting a request for quote (RFQ), or otherwise using the Covari platform (“Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, you may not use the Service.
2. Eligibility
You must be at least 18 years of age and have the authority to enter into agreements on behalf of the entity you represent. By using the Service, you represent and warrant that you meet these requirements.
3. Account Responsibilities
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately if you suspect unauthorized access.
4. Non-Circumvention
During the term of your use of the Service and for twelve (12) months thereafter, you agree not to directly or indirectly circumvent the Service to transact with any party introduced to you through the platform, except as expressly permitted in writing by Covari.
This means you may not bypass Covari’s marketplace to complete transactions, negotiate pricing, or form business relationships with counterparties you were connected to via the Service, without routing such activity through the platform.
5. RFQ Submissions & Marketplace Conduct
All requests for quotation, bids, and communications submitted through the platform are subject to these Terms. You agree to provide accurate information and to act in good faith in all marketplace interactions.
6. Intellectual Property
You retain ownership of any files, designs, or specifications you upload. By uploading content, you grant Covari a limited license to process, store, and transmit that content solely for the purpose of providing the Service.
7. Confidentiality
Covari treats all RFQ details, pricing information, and communications as confidential. We will not share your data with unrelated third parties without your consent, except as required by law.
7.1 United States Visitor Identification
For visitors located in the United States, Covari uses RB2B visitor-identification technology to understand which businesses and business professionals are interested in our services. RB2B may use cookies and process the current and referring page, device and browser signals, and identifiers used for business identity resolution. Covari may use resolved business information for sales follow-up. We do not load RB2B for visitors outside the United States or on private customer, supplier, login, checkout, admin, provider-offer, or RFQ workspace routes. You can use the RB2B opt-out at any time.
8. Limitation of Liability
To the maximum extent permitted by law, Covari shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service.
9. Modifications
We may update these Terms from time to time. When we do, we will update the version number and date above. Continued use of the Service after changes constitutes acceptance of the revised Terms. For material changes, we will prompt you to re-accept.
10. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law provisions.
